Operating agreements contain more than just legal boilerplate.  They often include critical tax provisions that shape compliance obligations and planning opportunities for entities and their owners.  In this course, we will review the key tax-related provisions usually included in LLC operating agreements and encourage tax professionals to confidently read, interpret, and flag language that affects allocations, distributions, basis tracking, elections, and more.  You will learn how to spot red flags, ask better questions, and become a more valuable advisor to clients and their attorneys during entity formation, operation, restructuring, or exit planning.

Learning objectives:
  1. Recognize common tax-related provisions in LLC operating agreements, including those related to allocations, distributions, and capital accounts;
  2. Describe how operating agreements address member contributions and capital accounts, and assess compliance with IRS capital account maintenance rules;
  3. Interpret problematic, ambiguous, or omitted language that can lead to tax compliance risks or preparer liability; and
  4. Recommend revisions or clarifications to operating agreement language in collaboration with legal counsel.

Our Distinguished Speaker: Jeremy Wells, PhD, EA, CPA, is COO and Head of Tax at Steadfast Bookkeeping.  He belongs to the National Association of Enrolled Agents (NAEA) and the National Association of Tax Professionals (NATP).  He serves as editor of NAEA's EA Journal, education chair of the Florida Society of Enrolled Agents (FSEA), and treasurer of the Florida Chapter of the NATP.  He has taught at several national and state tax and accounting conferences.  Jeremy hosts the Tax in Action podcast and writes on taxes and running a tax firm at JWellsTax.
